ENGAGEMENT OF SERVICES
WHEREAS the Client seeks to commission the Independent Contractor for the creation, development, and post maintenance of the website identified as _______________, accessible via www___________________ and
WHEREAS the Independent Contractor is engaged in the business of providing web development services and has agreed to render such services for the website, in line with the terms and conditions set forth in this Agreement.
NOW, THEREFORE, in consideration of the mutual promises and understandings detailed herein, both parties agree as follows:
SCOPE OF WORK
The Independent Contractor shall provide the following web development services to the Client:
- Consultation and Planning: Initial meetings to discuss the Client’s requirements, target audience, design preferences, and desired functionalities.
- Website Design: Creation of a custom website design, including layout, color scheme, typography, and user interface elements, based on the Client’s specifications.
- Development: Coding and development of the website using Shopify as the e-commerce platform and appropriate web technologies to ensure functionality across various browsers and devices
- Content Integration: Incorporation of the Client’s provided content, such as text, images, videos, and other media, into the website.
- Testing and Quality Assurance: Rigorous testing of the website to identify and fix any technical issues, ensuring compatibility, performance, and security standards are met.
- Launch: Deployment of the website to the Client’s hosting server, including domain setup and configuration.
- Training: Providing the Client with the necessary training and documentation to manage and update the website content.
- Maintenance and Support: We will provide ongoing maintenance and technical support services for a specified period, including 30 days of free maintenance following launch, to address any issues and implement minor updates.
- Client Satisfaction: The Client affirms satisfaction with the Independent Contractor’s performance upon project completion and payment. The Client agrees that the services rendered have met expectations, and no refunds will be issued for the completed work.
- Intellectual Property: Transfer of ownership of the final website and its content to the Client upon final payment, excluding any pre-existing intellectual property owned by the Independent Contractor.
DELIVERABLES AND TIMELINE
The Independent Contractor will deliver the Website in accordance with the timeline and specifications detailed by the client. The Independent Contractor will keep the Client informed of their progress and any issues that may arise during the development process.
The Client is encouraged to contact the Independent Contractor at any time for any additional updates or changes they wish to make. However, please note that significant changes or additions may affect the overall timeline and cost of the project. Any changes to the project scope, timeline, or cost will be discussed and agreed upon by both parties in writing.
PAYMENT ARRANGEMENT
The Client agrees to pay the Independent Contractor a total fee of USD$ 1,500 for the services rendered under this Agreement. The payment schedule will be as follows:
- 50% Payment Upon Completion of Work: An initial payment of $750 is due upon the Independent Contractor’s completion of the work to the Client’s satisfaction.
- 50% Final Payment: The remaining balance of $750 is payable upon final completion of the project, as evidenced by the Client’s written approval.
This payment structure ensures that the Independent Contractor is compensated for the work done at each major milestone, with the final payment confirming the Client’s full satisfaction with the completed project.
TERMS OF SERVICE COMPLETION AND THE PAYMENT POLICY
- Satisfaction Affirmation: The Client hereby confirms that the services rendered by the Independent Contractor have been performed in accordance with the agreed-upon standards and specifications. The Client acknowledges that all contractual obligations have been satisfactorily fulfilled by the Independent Contractor.
- Service Approval and Final Acceptance: By making the payment, the Client signifies their approval of the completed web development services. The Client affirms that the delivered services align with their expectations and that the project has reached its successful conclusion.
- No Refund After Payment: The Client understands and agrees that once payment is made, it constitutes full and final compensation for the completed web development services. As the services have been rendered to the Client’s satisfaction, no refunds will be issued for the completed work or project.
- Post-Completion Modifications Subject to Warranty: The Independent Contractor agrees to provide limited modifications to the delivered services for a period of 30 days following the completion of the project and receipt of payment from the Client. These modifications will be carried out in accordance with the terms specified in the Warranty section of this agreement and are intended to address minor adjustments or corrections as requested by the Client.
WARRANTY
- Warranty Period. The Independent Contractor warrants that the website and all its components will be free from defects in workmanship and functionality for a period of 30 days from the date of the website’s launch (the “Warranty Period”).
- Scope of Warranty. This warranty covers any technical defects or malfunctions in the original website design and code as delivered by the Independent Contractor. Additionally, small revisions and updates of content will be applied at the discretion of the Independent Contractor.
- Warranty Claims. If the Client identifies any issues that they believe are covered by this warranty, the Client must notify the Independent Contractor in writing within the Warranty Period.
- Upon receipt of a valid warranty claim, the Independent Contractor will, at their discretion, either repair the defect, replace the defective element, or provide a workaround solution at no additional cost to the Client.
- This warranty does not cover issues caused by:
- Client’s misuse, alteration, or damage to the website after acceptance.
- Third-party actions or services not provided by the Independent Contractor.
- Any changes made to the website by the Client or third parties that affect the functionality as delivered by the Independent Contractor.
- Any extensive revision or updates on function and web pages according to the independent discretion.
- The remedies provided above are the Client’s sole and exclusive remedies for any breach of warranty.
CONFIDENTIALITY
The Independent Contractor agrees to treat all information received from the Client with the strictest confidentiality. This includes, but is not limited to, business operations, customer data, trade secrets, and any other proprietary information disclosed under this Agreement. The Independent Contractor shall not disclose, disseminate, or publish such information to any third party, except as may be required by law or with the Client’s express written consent. This obligation of confidentiality shall survive the termination of this Agreement and remain in effect indefinitely.
TRANSFER OF RIGHTS
- Ownership Transfer. Upon receipt of full payment from the Client, the Independent Contractor hereby assigns to the Client all rights, title, and interest in and to the Website, encompassing all code, graphics, content, and other related materials developed under this Agreement.
- Retention of Rights Prior to Payment. Until full payment is made, all intellectual property rights related to the Website remain with the Independent Contractor.
- Non-infringement Assurance. The Independent Contractor warrants that the Website and all associated deliverables will not knowingly infringe upon the intellectual property rights of any third party.
- Client’s Intellectual Property. Any pre-existing intellectual property of the Client remains solely with the Client. The Independent Contractor is granted a non-exclusive, temporary license to use such intellectual property solely for the purpose of executing the project.
- Third-Party Licenses. Any third-party licenses required for any software or content incorporated into the website but not created by the independent contractor are the client’s responsibility to obtain and maintain.
TERMINATION
- Right to Terminate. Both the Client and the Independent Contractor have the right to terminate this Agreement at any point by providing written notice to the other party.
- Termination by Client.
- During Development, No Prior Payment: If the Client terminates this Agreement while the project is under development and no payments have been made, the Independent Contractor shall dismantle all completed work and reset the project to its initial state. The Client shall not be entitled to any partial payment or refund.
- During Development, with Prior Payment: In the event of termination by the Client prior to completion, any payments made by the Client up to the date of termination shall be retained by the Independent Contractor in exchange for the work completed to that point. The parties may negotiate a further settlement in good faith.
- Retention of Intellectual Property: In the event of termination by the Client prior to completion and full payment, all intellectual property rights to the website and its components shall remain solely with the Independent Contractor.
- Termination by Independent Contractor:
The Independent Contractor may terminate this Agreement with written notice in the event of:
- Non-Payment: Failure by the Client to make any payment when due.
- Breach of Contract: Material breach of any other provision of this Agreement by the Client.
- Protection of Interests: This termination provision is intended to protect the Independent Contractor’s investment of time, resources, and creative effort in the project.
- Case-by-Case Consideration: The specific details and implications of any termination will be assessed on a case-by-case basis, considering the unique circumstances of each situation.
MUTUAL INDEMNIFICATION
- Indemnity Obligations. Each party (the “Indemnifying Party”) agrees to defend, indemnify, and hold harmless the other party (the “Indemnified Party”) and its officers, directors, employees, and agents from and against all claims, actions, liabilities, damages, costs, and expenses, including reasonable legal fees, arising out of or related to the Indemnifying Party’s breach of any obligations, representations, or warranties under this Agreement.
- Limitation of Liability. Notwithstanding the above, neither party shall be liable to the other for any form of indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, or goodwill, arising out of or in connection with this Agreement, whether such damages were foreseeable.
ENTIRE AGREEMENT
This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous communications and agreements between the parties, whether oral or written.

SCOPE OF WORK
Independent Contractor agrees to provide the following web and hosting maintenance services to the client, depending on the services agreed upon by the parties:
- Website Content/Function Revision: We value the importance of keeping your website’s content current and engaging. To request updates, please note that they are subject to limitations based on the provided details and the developer’s discretion. These updates apply exclusively to existing pages and/or functions. If you require the addition of new pages and/or functions, additional charges may apply.
- Please be aware that any tasks beyond the scope of our agreed-upon service will incur additional charges.
- Technical support: Web maintenance involves helping with and troubleshooting for issues that arise in the operation of a website. This can include resolving technical glitches, ensuring security protocols are up-to-date, updating content and design elements, and optimizing website performance.
- SaaS Management (Software as a Service): The Provider shall manage external services, such as email marketing, analytics, CRM, or payment gateways, that are integrated with the Website, and ensure they are configured, synchronized, and updated properly.
- SEO Configuration: As an Independent Contractor, I will apply all necessary features to configure on-page and technical SEO for the website. Off-page SEO strategies will be discussed and implemented based on the scope of work and the budget agreed upon with the client.
- The client shall be responsible for covering the expenses associated with external SEO tools or services that may be required for the off-page SEO efforts. Any costs related to such tools or services will be discussed and approved by the client before implementation.
- Social media integration: Integrating your website with social media platforms can help expand your online reach and drive more traffic to your In addition, to setup and monitor Facebook Meta Business according to client’s instruction.
- Website hosting management: Web maintenance may involve managing your website’s hosting provider, ensuring that your website is hosted on a reliable and secure server, and resolving any issues with the hosting provider.
- Security and Protection: I am committed to ensuring the highest level of security and protection for your WordPress By installing a robust security plugin and diligently monitoring for both brute force attacks and malware, I will implement a comprehensive security strategy.
- Security monitoring: Web maintenance involves regular security scans to identify and address any vulnerabilities or threats to your website.
- Plugin/Theme updates: This includes updates to your website’s CMS (Content Management System), plugins, themes, and other software components to ensure that they are up-to- date and secure.
- Backups: Regular backups of your website files and database are critical to ensuring that you can restore your website in the event of a security breach, server failure, or other issues.
- Performance optimization: Web maintenance includes regular optimization of your website’s speed, load times, and overall performance to provide the best possible user experience for visitors.
- Spam prevention: Web maintenance may include implementing anti-spam measures such as CAPTCHAs and email filters to reduce unwanted spam messages. Also, Removal of all spam

- Analytics and reporting: Regular analysis of your website’s performance metrics can provide valuable insights into visitor behavior, popular pages, and other key data points to inform ongoing improvements to your website.
The Independent Contractor shall perform the website maintenance services in a professional, timely, and satisfactory manner, using qualified and experienced personnel, and following the industry standards and best practices.
The Independent Contractor shall not make any changes to the Website that are not authorized by the Client, or that may adversely affect the performance, functionality, or appearance of the Website.
The Independent Contractor shall not disclose any confidential or proprietary information of the Client or the Website to any third party, without the prior written consent of the Client.
Payment Arrangement
The Client shall pay the Independent Contractor $____ for the maintenance services supplied under the terms of this Agreement. Payment will be due on the _____ of each month. The Client will be invoiced for each month’s payment. If payment is not received within 10 days of the due date, the Independent Contractor may suspend maintenance services until payment is received.
Terms of Service for Monthly Website Maintenance
Thank you for choosing our monthly website maintenance service. By processing your payment, you acknowledge and agree to the following terms:
- Satisfaction Affirmation: The client confirms that the independent contractor properly performed the monthly web maintenance services according to the agreed-upon standards and requirements based on the contract.
- Service Approval and Final Acceptance: By making the payment, the client signifies their approval of the completed monthly web maintenance services. The client affirms that the delivered services align with their expectations and that the task has reached a successful conclusion.
- Refund Policy: If the client is not satisfied with our services within one week, they are eligible for a refund of 90% of the total amount paid. However, it’s important to note that this refund policy is only applicable within the first week of service.
- No Refund After Payment Completion: The client acknowledges and agrees that once the payment has been made, it represents the full and final settlement for the completed monthly web maintenance services. No refunds will be issued for the work that has been completed and delivered. This policy is in effect immediately after the initial one-week period.
Term of Modification and Termination
This Agreement will commence upon execution and will remain in effect until either party decides to terminate it. In the event of a proposed upgrade or changes that are mutually agreed upon, the existing contract will be terminated. A new contract, reflecting the upgraded services or revised terms, will be executed and will take effect immediately. Termination of this Agreement can be initiated by either party, provided a written notice is given to the other party 10 days in advance. Upon termination, the Independent Contractor is obligated to provide the Client with a final backup of the website.
Confidentiality
The Independent Contractor will maintain the confidentiality of any information provided by the Client under this Agreement and will not disclose such information to any third party without the Client’s prior written consent.
Limitation of Liability
The Independent Contractor is only liable for damages caused by their own gross negligence or willful misconduct. The Independent Contractor is not responsible for any errors, omissions, interruptions, or delays caused by the Company’s employees who have access to and alter any configuration that will disrupt or cause any issue within the Web Hosting and all websites without the Independent Contractor’s knowledge. The Independent Contractor’s liability is limited to the amount paid by the Company under this Agreement.
Indemnification
The Client will indemnify and hold the Independent Contractor harmless from all claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or in connection with the Client’s use of the website or any breach of this Agreement by the Client.
Force Majeure
Neither party shall be liable for any failure or delay in performing their obligations under this Contract due to causes beyond their reasonable control, including but not limited to acts of God, natural disasters, acts of government, or other unforeseen circumstances.
Entire Agreement
This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous communications and agreements between the parties, whether oral or written.

Independent Contractor agrees to provide the following Digital Marketing services to Client:
- SEO (Search Engine Optimization)

- Content Marketing
- What it is: Creating and sharing helpful and interesting online materials like blog posts, articles, and guides.
- Goal: Attract and keep an audience by providing value, which builds trust in your brand.
- In short: Attracting customers by creating helpful content like blogs and guides.
- Multimedia Content Creation
- What it is: Producing engaging visual and audio content. This includes:
- Videos: Short-form videos (like for TikTok and Reels), explainer videos, and commercials.
- Graphics & Images: Infographics, social media posts, and professional photos.
- Audio: Podcasts and audio ads.
- Goal: Capture attention, explain complex ideas easily, and make your brand more memorable and shareable online.
- In short: Making engaging videos, graphics, and podcasts to capture audience attention.
- What it is: Producing engaging visual and audio content. This includes:
- Social Media Marketing
- What it is: Using platforms like Facebook, Instagram, TikTok, and LinkedIn to connect with your audience.

- Paid Advertising (PPC – Pay-Per-Click)
- What it is: Paying to place ads on search engines (like the top results on Google) and social media. You only pay when someone clicks your ad.
- Goal: Get immediate traffic and target specific customers quickly.
- In short: Paying for ads on Google and social media to get instant traffic.
- Email Marketing
- What it is: Sending emails to a list of subscribers to share news, promotions, or helpful tips.
- Goal: Nurture leads and build loyalty with existing customers, encouraging repeat business.
- In short: Sending targeted emails to stay in touch with customers and encourage sales.
The Independent Contractor shall perform the Digital Marketing services in a professional, timely, and satisfactory manner, using qualified and experienced personnel, and following the industry standards and best practices.
The Independent Contractor shall not make any changes to the Website that are not authorized by the Client, or that may adversely affect the performance, functionality, or appearance of the Website.
The Independent Contractor shall not disclose any confidential or proprietary information of the Client or the Website to any third party, without the prior written consent of the Client.

- Refund Policy: If the client is not satisfied with our services within one week, they are eligible for a refund of 90% of the total amount paid. However, it’s important to note that this refund policy is only applicable within the first week of service.
